
The Terms of Use & User Agreement that govern your access to and use of Marine Vault.
This Terms of Use & User Agreement governs your access to and use of the Marine Vault platform — our website, mobile applications, marketplace, project-management, and crew tools (collectively, the “Platform”). Marine Vault is a technology platform that connects boat owners and captains, contractors, and crew; it does not process, hold, or transfer payments between Users. By creating an account or using the Platform, you agree to these terms (Articles 1–20).
These Terms of Use & User Agreement (the "Agreement") govern access to and use of the Marine Vault platform, including the website, mobile applications, marketplace, project tools, and crew tools (collectively, the "Platform"). By creating an account or using the Platform, Users agree to this Agreement.
Marine Vault operates solely as a technology platform that connects boat owners and captains, contractors, and crew. Marine Vault is not a party to any agreement, project, employment arrangement, sale, or transaction between Users. Specifically:
All payments for projects, work, marketplace items, and crew engagements are arranged and made directly between the Users involved. Marine Vault does not process, hold, collect, transfer, or disburse any such payment and is not a party to the payment.
The transacting Users are solely responsible for agreeing on the amount, method, schedule, and timing of payment, and for completing payment directly between themselves using whatever method they choose.
Because Marine Vault does not handle payments between Users, Marine Vault is not responsible for:
Marine Vault does not possess, own, control, or maintain custody of any funds belonging to Users. No money for any job, project, sale, or placement passes through Marine Vault.
Users acknowledge and agree that:
Any work order, invoice, quote, or amount displayed on the Platform is a record and convenience for the Users. It does not mean Marine Vault holds, owes, collects, or will pay any amount.
Creating an account, posting jobs, submitting bids, signing work orders, listing in the Marketplace, and using the Crew Job Board are free. Marine Vault does not charge any commission, percentage, or per-job fee on any project, sale, or placement.
Marine Vault offers optional paid memberships that unlock additional Platform features:
Membership fees are charged solely for access to optional Platform features. They are not a fee on, and are unrelated to, any payment made between Users.
Marine Vault may modify membership offerings and pricing upon reasonable notice through the Platform. Changes do not affect a billing period already paid.
The Platform allows Owners and Contractors to create, sign, and store work orders that record the agreed scope, price, and terms of a project. A signed work order is an agreement between those Users.
Marine Vault does not determine, set, or control:
Marine Vault is not a party to any work order or other agreement between Users and is not responsible for the performance, completion, quality, or payment of any such agreement.
Paid memberships are billed on a recurring monthly basis through a third-party payment processor until cancelled. By purchasing a membership, the User authorizes the recurring charge to the payment method on file.
Membership payments are processed by an independent third-party payment processor, subject to that processor’s terms. Marine Vault does not store full payment card numbers.
Users may cancel a membership at any time through their account settings. Cancellation stops future renewals; the membership remains active through the end of the current paid period.
Users are responsible for any taxes applicable to their membership where required by law.
Because Marine Vault does not hold User funds, Marine Vault does not and cannot release, hold, freeze, or distribute any payment between Users. Any "approve," "complete," or "sign" action on the Platform records a User’s decision and does not move money.
Marine Vault does not:
Decisions about whether work is acceptable and whether to pay are made solely by the Users involved.
Owners, Contractors, and other Users remain solely responsible for resolving disputes between themselves, including disputes involving:
Users agree to make reasonable good-faith efforts to resolve disputes directly between themselves before pursuing other remedies.
Because Marine Vault does not hold or move funds between Users, Marine Vault:
Marine Vault is not liable for any loss arising from a payment or performance dispute between Users.
Users acknowledge that activities facilitated through the Platform may involve vessel repairs, maintenance, refits, crew employment, maritime commerce, vessel operations, marina operations, and other activities subject to maritime law. Marine Vault does not provide maritime legal services.
Certain disputes may be subject to federal admiralty jurisdiction. Marine Vault makes no representation regarding:
Users remain solely responsible for obtaining legal advice.
Information provided through the Platform shall not be construed as legal advice, maritime advice, employment advice, insurance advice, financial advice, tax advice, or regulatory advice. Users should consult qualified professionals regarding legal and regulatory matters.
Marine Vault does not verify whether captains, crew members, yacht managers, vessel representatives, or management companies possess authority to:
Users remain solely responsible for verifying authority before entering transactions.
Users acknowledge that certain marine services may create maritime lien rights. Marine Vault shall not be responsible for:
All lien matters remain solely between participating Users.
Marine Vault shall not be liable for vessel arrests, attachments, seizures, injunctions, foreclosures, or other maritime enforcement actions. Marine Vault has no obligation to prevent, investigate, challenge, or resolve such proceedings.
Users acknowledge that vessel access involves inherent risks including:
Users voluntarily assume all risks associated with boarding, accessing, inspecting, servicing, maintaining, repairing, or operating vessels.
To the fullest extent permitted by law, Users release Marine Vault and its officers, directors, members, managers, employees, contractors, affiliates, successors, and assigns from claims arising from:
Users remain solely responsible for compliance with all environmental laws, regulations, permits, reporting obligations, pollution prevention requirements, and cleanup obligations arising from their activities. Marine Vault shall not be liable for environmental damage, pollution events, spills, discharges, remediation costs, fines, penalties, or regulatory actions.
Users acknowledge that access to marinas, boatyards, shipyards, harbors, private docks, storage facilities, vessel facilities, and restricted-access marine properties may be controlled by third parties. Marine Vault does not own, operate, manage, or control such facilities and does not grant access rights to any property. Users are solely responsible for obtaining all permissions, authorizations, credentials, and approvals necessary to enter or access any facility.
Users agree to comply with all applicable:
Marine Vault shall not be responsible for enforcing, interpreting, monitoring, or administering facility rules.
Contractors, crew members, vendors, service providers, and marketplace participants are solely responsible for confirming that they possess lawful authorization before:
Marine Vault shall not be responsible for verifying access rights or authority.
Marine Vault shall not be liable for losses arising from:
Users remain solely responsible for scheduling impacts and project delays associated with access limitations.
Marine Vault strongly recommends that Users maintain insurance appropriate for their activities. Depending upon the services involved, recommended coverage may include:
Marine Vault does not guarantee the adequacy of any insurance coverage.
Owners, vessel representatives, captains, yacht managers, and hiring parties remain solely responsible for verifying:
Marine Vault shall have no responsibility for evaluating insurance adequacy.
Marine Vault may offer optional verification badges and programs, including:
Verification programs are intended solely as informational tools.
No badge, verification designation, profile designation, membership level, or verification status shall constitute:
Users remain solely responsible for conducting independent due diligence before engaging another User.
Marine Vault shall not be liable for losses arising from:
Users acknowledge that information may change after verification is completed.
Users may upload, submit, transmit, publish, store, or otherwise provide User Content through the Platform. User Content may include:
Users retain ownership of User Content subject to the licenses granted herein.
By submitting User Content, the User represents and warrants that:
Users grant Marine Vault a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to:
User Content for purposes of operating, maintaining, improving, securing, and administering the Platform.
Marine Vault reserves the right, but not the obligation, to remove, restrict, disable, edit, reject, or delete User Content at its sole discretion. Marine Vault shall have no obligation to review User Content before publication.
Users shall not upload content that:
Marine Vault may remove such content without prior notice.
The Platform and all content provided by Marine Vault, including:
are owned by Marine Vault or its licensors and are protected by applicable intellectual property laws. No ownership rights are transferred to Users.
Except as expressly authorized by Marine Vault, Users shall not:
Marine Vault respects intellectual property rights and expects Users to do the same. Marine Vault reserves the right to remove content alleged to infringe copyrights, trademarks, patents, trade secrets, or other intellectual property rights.

Marine Vault reserves the right to suspend or terminate Users who repeatedly violate intellectual property rights.
Marine Vault may collect information including:
The collection and use of such information shall be governed by Marine Vault’s Privacy Policy.
By using the Platform, Users consent to the collection, processing, storage, transfer, and disclosure of information reasonably necessary for:
Marine Vault may share information with:
where reasonably necessary or legally required.
Marine Vault may retain:
Records may be retained for legal compliance, fraud prevention, litigation defense, tax reporting, regulatory compliance, security purposes, and business operations.
Marine Vault utilizes commercially reasonable measures intended to protect information from unauthorized access. However, no security system can guarantee absolute protection. Users acknowledge the inherent risks associated with electronic communications and internet-based services.
Users acknowledge that information may be stored, processed, and transferred within the United States or other jurisdictions where Marine Vault or its service providers operate. Users consent to such transfers through continued use of the Platform.
Marine Vault may utilize cookies, web beacons, pixels, session identifiers, analytics tools, authentication technologies, security monitoring technologies, and other tracking technologies in connection with operation of the Platform. Such technologies may be used to:
Users consent to such use through continued access to the Platform.
By using the Platform, Users consent to receive electronic communications from Marine Vault, including:
Electronic communications shall satisfy any legal requirement that communications be provided in writing.
Users agree that records maintained electronically by Marine Vault may be used as evidence in legal proceedings to the same extent as paper records. Electronic records may include:
Users agree that the following actions constitute legally binding electronic signatures:
Such actions shall have the same legal force and effect as handwritten signatures to the fullest extent permitted by law.
Users are solely responsible for maintaining accurate:
Failure to maintain accurate contact information shall not invalidate notices transmitted by Marine Vault using the last known information provided by the User.
THE PLATFORM IS PROVIDED ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARINE VAULT DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
MARINE VAULT DOES NOT WARRANT OR GUARANTEE:
All use of the Platform occurs at the sole risk of participating Users.
Marine Vault does not warrant that the Platform will:
Temporary interruptions may occur due to maintenance, software defects, internet disruptions, third-party failures, cybersecurity events, or governmental actions.
Marine Vault makes no warranty regarding third-party services, including:
Marine Vault shall not be responsible for failures, delays, interruptions, or actions of third-party providers.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARINE VAULT SHALL NOT BE LIABLE FOR:
This limitation applies regardless of legal theory, including contract, tort, negligence, admiralty law, maritime law, statutory claims, or otherwise.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARINE VAULT’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF:
Users hereby release and forever discharge Marine Vault and its:
from claims arising from:
To the fullest extent permitted by law, Users agree to defend, indemnify, and hold harmless Marine Vault and its:
from and against any claims, demands, liabilities, damages, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising from:
Users shall fully cooperate with Marine Vault in the defense of claims subject to indemnification. Marine Vault reserves the right to assume exclusive control of its defense.
All indemnification obligations shall survive account termination, project completion, payment completion, employment completion, and expiration of this Agreement.
Except where federal maritime law or admiralty law controls, this Agreement shall be governed by the laws of the State of Florida without regard to conflict-of-law principles.
Any legal action arising from or relating to this Agreement shall be brought exclusively in a court of competent jurisdiction located in:
Users consent to the jurisdiction of such courts.
Where permitted by law and agreed by the parties, disputes may be resolved through binding arbitration administered by a mutually agreed arbitration provider. Marine Vault shall not be required to participate in arbitration proceedings between Users unless legally compelled.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, USERS AGREE THAT CLAIMS SHALL BE BROUGHT SOLELY IN AN INDIVIDUAL CAPACITY. USERS WAIVE ANY RIGHT TO PARTICIPATE IN:
Users represent and warrant that they are not:
Marine Vault reserves the right to:
If any provision of this Agreement is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
This Agreement, together with all incorporated policies, waivers, payment agreements, privacy policies, cookie policies, and related Platform documents, constitutes the entire agreement between Marine Vault and the User.
